What type of investment is available in the company?
The Company intends to issue both Equity and Preference shares. For NRI investors only Convertible Preference Shares will be issued.
Is there a fixed rate of dividend for these investments in share in your company?
For Preference shares the Dividend rate is fixed at 12% (tax free), which is cumulative. That is even in the case of inadequacy of profit, the dividend is accumulated
and paid. There is no fixation for Equity shares. The equity dividend is payable depending upon the availability of the profit. Please refer Offer Memorandum.
If the NRI investor is given convertible Preference shares, What is the time period for conversion and how the Perference Share holders sell or transfer their shares
and come out of the investment?
The Preference Shares are convertible at the end of 6 years. It will be converted into Equity Shares at a rate prevalent at the time of shares. The rate is calculated as
per the fair valuation of shares done by a Chartered Accountant as per the guidelines issued by the Controller of Capital Issue. After conversion the shares can be
sold to the promoters or other persons with the consent of the company as it has to be reported to RBI.
At the time of conversion whether the investor would be getting the Equity Shares for the principal amount invested in Perference Shares?
The Preference Shares shareholders will be given Equity Shares equivalent to the value of Preference Shares held by him which may not be equivalent in value. The
value of Preference Shares will be divided by per-share value prevalent at the time of conversion of Shares and the number of Equity Shares payable will be
arrived at and issued. Though the number of Equity Shares received by the investor is less than the number of Preference Shares held by him, the intrinsic value of the
Equity Shares issued to the investor will be equivalent to the original value of Preference Shares. When the Converted shares are transferred or sold, the investor will
receive an equivalent or higher rate for his Equity Shares than the rate at which it was converted. Hence the Preference Shares investor will not loose his principle
amount invested at any point of time, and in fact he may receive more than what he has invested.
Whether the dividend received by an NRI investor though not taxable in India, is taxable in the NRI's Country?
Yes it is taxable and it depends upon the country from where the investment originates. it is given in the double taxation agreement of each country.

Will the investor get full return during the first year of operation even though there is delay in the starting of commercial production?
The Preference share holders will get the full dividend starting from the first year even though there is delay in the starting of commercial production as they are given a coupon rate and dividend is cumulative. Equity dividend is subject to availability of profit

Whether the dividend and sale proceeds of the investment be repatriated from India?
As per Foreign Direct Investment (FDI) policy of India the dividend and the sale proceeds of the investment are freely repatriable.
Whether the dividend money can also be retained in India and if yes in which account?
The Dividend money can also be retained in an NRI SB account in scheduled bank in India and can be reinvested from India itself.
Can these amounts be kept in the NRI account for a longer period and what is the maximum period?
Yes the money in NRI account as well as the investment after conversion can be kept for longer period and there is no maximum time period specified as on date.
